These Website Terms of Use (“Terms”) govern your access to and use of the Fitnera Clinic website located at https://www.fitnera.com/, including related webpages, online forms, scheduling tools, payment pages, patient portal links, electronic communications features, educational materials, and other digital services made available through the website (collectively, the “Website”).
Fitnera Clinic is operated by Xoomera Services LLC (“Fitnera Clinic,” “Fitnera,” “Xoomera,” “we,” “us,” or “our”).
Fitnera Clinic may offer telehealth-enabled convenient-care services, medical weight-management services, and related administrative, educational, and digital-health services. All clinical services are subject to clinician availability, patient eligibility, clinical appropriateness, clinician licensure, applicable law, and the separate patient agreements, consents, policies, and disclosures required for the requested service.
The Website and Fitnera’s clinical services are intended for adults who are physically located in Missouri or Illinois when telehealth services are requested and provided, subject to the limitations described in these Terms.
By accessing, browsing, submitting information through, creating an account through, scheduling through, paying through, or otherwise using the Website, you agree to these Terms. If you do not agree, do not access or use the Website.
1. Important Medical and Emergency Notice
The Website is not designed for emergency medical care, emergency mental-health care, crisis intervention, or urgent in-person assessment.
Do not use the Website, patient portal, email, online forms, text messages, or other electronic communications to seek emergency care.
If you have a medical emergency, think you may have a life-threatening condition, or experience chest pain, difficulty breathing, signs of stroke, severe allergic reaction, severe bleeding, loss of consciousness, suicidal thoughts, a serious medication reaction, or another urgent condition, call 911 immediately or go to the nearest emergency department.
Messages submitted through the Website, patient portal, email, or text message are not monitored continuously. Do not wait for a response from Fitnera Clinic if you need urgent or emergency care.

2. Website Information Is Not Individual Medical Advice
Website content is provided for general educational and informational purposes only. It is not individualized medical advice, diagnosis, treatment, prescription, or a substitute for evaluation by a qualified healthcare professional.
Website content may address convenient-care conditions, medical weight management, nutrition, exercise, medications, telehealth, wellness, or related topics. That content may not be complete, current, appropriate, or suitable for your individual circumstances.
Do not disregard professional medical advice, delay seeking in-person care, or change prescribed treatment based solely on Website content.
Your access to the Website, submission of a general inquiry, completion of an online form, scheduling of an appointment, payment of a fee, or creation of an account does not alone establish a physician-patient, clinician-patient, or other treatment relationship with Fitnera Clinic or any clinician.
A clinical relationship may be established only after a qualified clinician has evaluated you through an appropriate clinical encounter and has agreed to provide care.
3. Service Description
Fitnera Clinic may provide or facilitate access to:
Telehealth-enabled convenient-care services for selected non-emergency health concerns.
Telehealth-enabled medical weight-management services.
Follow-up care, when clinically appropriate.
Health education, care coordination, administrative support, and digital-health services.
Scheduling, payment, portal, communications, and other Website-related functions.
Fitnera Clinic does not represent that all services are available to every individual, in every part of Missouri or Illinois, at all times, for every medical condition, or through every communication method.
Convenient-care and medical weight-management services have different clinical purposes, eligibility criteria, workflows, follow-up requirements, and patient consents. You may be asked to complete service-specific intake materials, disclosures, acknowledgments, and informed-consent documents before receiving services.
4. Missouri and Illinois Service Area
Fitnera Clinic currently intends to provide telehealth-enabled clinical services only to eligible adult patients who are physically located in Missouri or Illinois at the time of the clinical encounter.
You must accurately disclose your current physical location at the beginning of every telehealth visit. You must promptly notify Fitnera Clinic and the treating clinician if your physical location changes before or during the appointment.
Fitnera Clinic may decline, postpone, reschedule, limit, or discontinue services if:
You are not physically located in Missouri or Illinois.
Your physical location cannot be reasonably verified.
Your identity cannot be reasonably verified.
The treating clinician is not authorized to provide care in your location.
Telehealth is not clinically appropriate for your needs.
The clinician determines that you need in-person, urgent, emergency, specialty, or other higher-level care.
Required medical history, examination findings, vital signs, laboratory results, photographs, medication information, or follow-up information are unavailable, inaccurate, incomplete, or insufficient.
Your requested service cannot be safely or legally provided through Fitnera’s available care model.
Service availability may vary based on clinician availability, professional licensure, operational capacity, patient condition, pharmacy and laboratory availability, and applicable law.
5. Eligibility
The Website and Fitnera’s clinical services are intended only for individuals who:
Are at least 18 years old.
Are legally able to enter into binding agreements.
Provide accurate, complete, and current identifying, contact, health, location, and payment information.
Are physically located in Missouri or Illinois at the time telehealth care is provided.
Meet clinical, legal, and operational eligibility criteria established by Fitnera Clinic and the treating clinician.
Fitnera Clinic does not provide clinical services to minors through this Website unless Fitnera Clinic expressly states otherwise in writing.
Do not use the Website to seek care for a child, dependent adult, or another person unless Fitnera Clinic has specifically authorized that use and all required legal, clinical, and consent requirements have been satisfied.
6. Telehealth Services and Consent
Telehealth may involve video, audio, asynchronous messaging, electronic questionnaires, patient-reported health information, electronic photographs, remote-monitoring information, portal communications, and other digital communication methods.
Telehealth has limitations. Technology may fail, communications may be interrupted, information may be incomplete, an in-person examination may be necessary, and telehealth may not be clinically appropriate in all situations.
Before receiving telehealth services, you may be required to review and electronically accept separate documents, including:

Convenient-Care Patient Terms and Consent.
Medical Weight-Management Patient Terms, Financial Acknowledgment, and Informed Consent.
Notice of Privacy Practices.
Privacy Notice.
Financial, Cancellation, and Refund Policy.
Prescription and Pharmacy Policy.
Medication-specific consent, risk disclosure, or compounded-medication disclosure, when applicable.
Acceptance of these Terms does not replace required telehealth informed consent, privacy acknowledgment, financial-policy acceptance, treatment-specific consent, medication disclosure, or clinical documentation.
A clinician may recommend, require, delay care pending, or refer you for:
In-person examination.
Measurement of vital signs.
Laboratory testing.
Imaging.
Urgent-care or emergency evaluation.
Primary-care follow-up.
Specialty consultation.
Other clinically appropriate care.
7. No Guarantee of Evaluation, Prescription, or Outcome
Payment, scheduling, use of the Website, completion of a questionnaire, submission of health information, participation in a consultation, or acceptance of these Terms does not guarantee:
Acceptance as a patient.
Establishment or continuation of a clinician-patient relationship.
Appointment availability or access to a particular clinician.
A diagnosis, treatment recommendation, or medical clearance.
A prescription, refill, laboratory order, imaging order, referral, work note, school note, or other document.
Medical eligibility for convenient-care or medical weight-management treatment.
A specific medication, brand, dose, concentration, formulation, route of administration, or refill.
Pharmacy fulfillment, medication inventory, shipping, insurance coverage, prior authorization approval, or medication cost.
Laboratory availability, laboratory results, or coverage of laboratory charges.
Any particular weight-loss, health, cosmetic, financial, or clinical outcome.
Treatment decisions are made independently by the treating clinician based on professional judgment, available clinical information, patient safety, applicable standards of care, and applicable law.
Individual results vary. Clinical care may require lifestyle changes, monitoring, follow-up evaluation, laboratory testing, medication adjustment, in-person assessment, or referral to another provider.
8. Convenient-Care Services
Fitnera’s convenient-care services are intended only for selected, non-emergency health concerns that a treating clinician determines may be appropriate for evaluation through Fitnera’s available care model.
Fitnera Clinic does not guarantee that a particular symptom, condition, or concern can be safely evaluated or treated through telehealth or through a convenient-care visit.
Fitnera Clinic does not guarantee:
A diagnosis.
An antibiotic, antiviral, steroid, inhaler, antiemetic, or other medication.
A medication refill.
A laboratory, culture, imaging order, or referral.
A work note, school note, or other requested document.
That telehealth will be sufficient for your complaint.
That a condition can be treated remotely.
Fitnera clinicians prescribe antibiotics, antivirals, steroids, controlled substances, and other medications only when clinically appropriate and legally permitted. Medications are not prescribed solely upon request.
Antibiotics are not appropriate for all infections and are generally not appropriate for viral illnesses unless a clinician determines otherwise following an individualized evaluation.
You must seek urgent or emergency in-person care if your symptoms worsen, new warning signs develop, or you are directed to obtain higher-level care.
9. Medical Weight-Management Services
Fitnera’s medical weight-management services may include clinical evaluation, lifestyle counseling, monitoring, laboratory review, medication evaluation, prescription management, and follow-up care, when clinically appropriate.
Fitnera Clinic does not guarantee:
Eligibility for medical weight-management services.
A prescription for a GLP-1 medication or any other medication.
A specific medication, brand, dose, concentration, route, formulation, or refill.
Insurance coverage or prior authorization approval.
Medication availability, pharmacy inventory, dispensing, shipping, or cost.
A specific amount of weight loss.
A particular health, metabolic, cosmetic, or clinical outcome.
Eligibility for treatment, selection of medication, dosing, changes in therapy, refill approval, and continuation of treatment are determined by the treating clinician using professional judgment and applicable clinical and legal requirements.
Ongoing treatment may require:
Follow-up visits.
Current weight, blood pressure, pulse, and other vital signs.
Laboratory testing.
Review of medications, allergies, adverse effects, new diagnoses, contraindications, and pregnancy status when relevant.
Lifestyle counseling and other treatment recommendations.
In-person evaluation, primary-care coordination, or specialty referral.
You must promptly report clinically relevant changes, including serious adverse effects, medication changes, pregnancy or plans for pregnancy, new diagnoses, new allergies, hospitalization, and changes that could affect treatment safety.
10. Medications, Pharmacies, Laboratories, and Compounded Products
Medications may be prescribed only when clinically appropriate, legally permitted, and consistent with the treating clinician’s professional judgment.
Fitnera Clinic does not guarantee that a medication, refill, laboratory order, diagnostic order, or referral will be issued.
Pharmacies, laboratories, insurers, payment processors, shipping providers, telehealth platforms, scheduling platforms, and other third parties are generally independent of entities. Fitnera Clinic does not control or guarantee their actions, pricing, availability, policies, dispensing decisions, insurance coverage determinations, delivery times, laboratory processing, security practices, or services.
Unless Fitnera Clinic specifically states otherwise in writing, Fitnera charges do not include:
Prescription-medication costs.
Pharmacy dispensing fees.
Shipping charges.
Laboratory charges.
Insurance cost-sharing.
Injection supplies.
Prior-authorization fees or related third-party charges.
Other third-party costs.
If a clinician discusses or prescribes a compounded medication when clinically appropriate and legally available, you may be required to review and acknowledge a separate compounded-medication disclosure.
Compounded drugs are not reviewed or approved by the U.S. Food and Drug Administration in the same manner as commercially available FDA-approved drugs. A compounded product may differ from commercially available products in formulation, concentration, appearance, packaging, administration instructions, availability, and cost.
11. Financial Policy, Payment, Cancellations, and Refunds
You are responsible for fees disclosed before or at the time you request, schedule, authorize, or receive services.
Fees may include charges for consultations, follow-up visits, memberships, administrative services, late cancellations, no-shows, and other disclosed services.
All payments, refund requests, cancellations, membership terms, automatic-renewal terms, late-cancellation charges, no-show charges, and billing questions are governed by the then-current Financial, Cancellation, and Refund Policy, which is incorporated into these Terms by reference.
A completed clinical consultation is a professional service. Except where required by law or expressly stated in Fitnera’s written Financial, Cancellation, and Refund Policy, consultation fees are generally not refundable solely because:
You are not prescribed medication.
A requested treatment is not clinically appropriate.
You do not qualify for convenient-care or weight-management treatment.
Insurance does not cover a service, medication, laboratory test, or other item.
A prior authorization is denied.
A pharmacy does not stock, dispense, or ship a medication.
You decide not to proceed with a recommended treatment plan.
You do not obtain a particular clinical or weight-loss outcome.
Fitnera Clinic may use third-party payment processors. By providing payment information, you authorize Fitnera Clinic and its payment processor to charge the applicable amounts you approve, subject to applicable law and the Financial, Cancellation, and Refund Policy.
If Fitnera offers an automatically renewing membership or recurring service, the membership terms will clearly describe the price, billing frequency, renewal date or period, cancellation method, and any applicable cancellation deadline before you authorize payment.
12. Electronic Communications
By providing your email address, telephone number, patient-portal account, or other electronic contact information, you agree that Fitnera Clinic may communicate with you electronically regarding appointments, scheduling, billing, payments, care coordination, refill requests, account access, portal notifications, service updates, security notices, and other administrative or healthcare-related matters.
Electronic communications may include patient-portal messages, email, telephone calls, voicemail, and text messages.
You understand that electronic communications may involve privacy and security risks. You are responsible for safeguarding access to your devices, voicemail, email, and portal account.
Fitnera Clinic may use electronic communications for care-related, transactional, administrative, appointment, billing, security, and service communications as permitted by law.
Consent to promotional or marketing text messages and emails, if offered, is separate from consent to medical care, telehealth services, financial terms, and Website use. You are not required to consent to marketing communications to obtain Fitnera’s clinical services.
You may opt out of promotional or marketing messages as instructed in the message. Opting out of marketing messages does not prevent Fitnera Clinic from sending legally permitted appointment, billing, security, administrative, transactional, and care-related communications.
13. Privacy and Health Information
Fitnera Clinic’s collection, use, and disclosure of personal information and protected health information are governed by its Privacy Notice and, where applicable, its Notice of Privacy Practices.
Do not submit sensitive health, financial, or identifying information through ordinary email, public social-media messages, or a general Website contact form unless Fitnera Clinic specifically directs you to use that method.
Use the patient portal or another secure channel identified by Fitnera Clinic for health-related communications whenever available.
14. Patient Responsibilities
You agree to:
Provide truthful, accurate, complete, and current information.
Use your own identity and not impersonate another person.
Provide your actual physical location at each telehealth encounter.
Promptly update Fitnera Clinic about changes in your health, medications, allergies, pregnancy status, contact information, insurance, location, and relevant medical history.
Follow instructions from your treating clinician, including recommendations for monitoring, follow-up visits, vital signs, laboratory testing, and in-person evaluation.
Seek emergency or urgent in-person care when appropriate rather than relying on Website, portal, email, or text communications.
Protect your portal, account, password, verification codes, and device access.
Use the Website only for lawful, personal, and noncommercial purposes.
Failure to provide accurate or sufficient information may prevent treatment, delay care, make telehealth inappropriate, or result in suspension or termination of Website or clinical-service access.
15. Accounts and Security
Some Website features may require account creation, portal access, identity verification, scheduling, payment, or intake submission.
You agree to:
Provide accurate, complete, and current account information.
Keep usernames, passwords, verification codes, and devices secure.
Not share account access with another person.
Notify Fitnera Clinic promptly of suspected unauthorized access or account misuse.
Accept responsibility for activity through your account to the extent permitted by law.
Fitnera Clinic may require additional identity verification before providing access to appointments, records, payments, prescriptions, or other services.
16. Acceptable Use and Prohibited Conduct
You may use the Website only for lawful, personal, and noncommercial purposes.
You may not:

Misrepresent your name, identity, age, residence, physical location, medical history, insurance status, or eligibility.

Interfere with Website operations, security controls, or another person’s use of the Website.
Introduce viruses, malware, harmful code, or disruptive technology.
Copy, reproduce, distribute, modify, reverse engineer, sell, rent, license, or exploit Website content or functionality without written authorization.
Use the Website to threaten, harass, defame, abuse, exploit, or violate another person’s rights.

17. Intellectual Property
The Website and its content—including text, images, graphics, branding, logos, software, layout, audiovisual content, educational materials, features, and functionality—are owned by or licensed to Fitnera Clinic, Xoomera Services LLC, or their licensors and are protected by applicable intellectual-property laws.
Fitnera Clinic grants you a limited, revocable, personal, nonexclusive, nontransferable, and nonsublicensable license to access and use the Website for lawful personal use.
No ownership interest in Website content is transferred to you.
You may not use Fitnera Clinic’s name, logo, trademarks, branding, or content without prior written permission, except as necessary for ordinary personal use of the Website.
18. Third-Party Links and Services
The Website may link to or integrate with third-party services, including pharmacies, laboratories, payment processors, telehealth platforms, scheduling services, insurers, and other resources.
Fitnera Clinic does not control or endorse third-party websites or services and is not responsible for their content, availability, privacy practices, security, fees, policies, products, actions, or omissions.
Your use of a third-party service is governed by that third party’s terms and policies.
19. Website Availability and Disclaimer
Fitnera Clinic works to maintain Website accessibility and security but cannot guarantee uninterrupted, error-free, secure, or always-available access.
The Website may be modified, restricted, suspended, updated, or discontinued at any time.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE AND WEBSITE CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” FITNERA CLINIC DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND FREEDOM FROM HARMFUL COMPONENTS.
Nothing in these Terms excludes or limits any right, warranty, obligation, or remedy that cannot lawfully be excluded or limited.
20. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FITNERA CLINIC, XOOMERA SERVICES LLC, AND THEIR MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, CLINICIANS, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR USE, ARISING OUT OF OR RELATING TO THE WEBSITE OR THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF FITNERA CLINIC AND XOOMERA SERVICES LLC FOR CLAIMS ARISING FROM OR RELATING TO THE WEBSITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
The amount you paid directly to Fitnera Clinic for Website use during the six months before the event giving rise to the claim; or
One hundred U.S. dollars ($100).
These limitations do not apply to liability that cannot legally be disclaimed or limited. They do not waive, limit, or replace rights or remedies that cannot lawfully be waived in connection with professional healthcare services.
21. Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Fitnera Clinic, Xoomera Services LLC, and their members, managers, officers, employees, contractors, clinicians, agents, licensors, and service providers from claims, losses, damages, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:
Your violation of these Terms.
Your unlawful, fraudulent, or unauthorized use of the Website.
Your submission of false, misleading, unlawful, or infringing information.
Your violation of applicable law or another person’s rights.
Your failure to protect your account credentials, to the extent permitted by law.
This provision does not require you to indemnify any person or entity for that party’s own negligence, intentional misconduct, or liability that cannot lawfully be shifted to you.
22. Governing Law and Venue
These Terms and disputes relating to Website access or use are governed by the laws of the State of Missouri, without regard to conflict-of-law principles.
Unless applicable law requires otherwise, any lawsuit or legal proceeding arising out of or related to the Website or these Terms must be filed exclusively in the state or federal courts located in St. Louis County, Missouri. You consent to personal jurisdiction and venue in those courts.
Nothing in this section is intended to limit rights that Missouri or Illinois residents may have under nonwaivable state or federal law, or to require a healthcare-related dispute to be resolved in a manner that would be unlawful or unenforceable.
23. Changes to These Terms
Fitnera Clinic may update these Terms from time to time.
We will post updated Terms on the Website and revise the “Last Updated” date and version number above.
Updated Terms are effective when posted unless another effective date is stated. Your continued Website use after the effective date constitutes acceptance of the revised Terms to the extent permitted by law.
For material changes affecting paid services, active patients, clinical workflows, recurring billing, or patient rights, Fitnera Clinic may provide additional notice or request renewed acknowledgment or consent where appropriate or legally required.
24. Termination
You may stop using the Website at any time.
Fitnera Clinic may suspend or terminate access to all or part of the Website when reasonably necessary to protect users, maintain security, prevent fraud, comply with law, enforce these Terms, or protect Fitnera Clinic’s operations and rights.
Provisions that should reasonably survive termination—including intellectual-property rights, disclaimers, limitations of liability, indemnification, governing-law and venue provisions, and general provisions—will survive termination.
25. General Provisions
If any provision of these Terms is found invalid, illegal, or unenforceable, that provision will be enforced to the greatest extent permitted by law and the remaining provisions will remain in effect.
Fitnera Clinic’s failure to enforce any provision is not a waiver of its right to enforce that provision later.
You may not assign or transfer your rights or obligations under these Terms without Fitnera Clinic’s prior written consent.
Fitnera Clinic may assign these Terms in connection with a merger, reorganization, asset sale, financing, acquisition, or other lawful business transactions.
These Terms, together with the policies expressly incorporated by reference, form the entire agreement between you and Fitnera Clinic concerning Website use.
If these Terms conflict with a specific patient agreement, telehealth informed consent, Notice of Privacy Practices, privacy notice, medication disclosure, prescription and pharmacy policy, or financial policy, the more specific document controls for the subject it addresses.
